Our Corporate and Commercial team advise on all aspects of corporate and commercial law, including domestic and cross-border mergers and acquisitions, offshore structuring, public and private commercial transactions, joint ventures, financing (debt and equity), secured lending and matters of regulation and compliance.

The team provides legal advice to both UK and international clients in relation to the creation, operation and termination of corporate relationships – from inception and through the entire life cycle.

We manage and advise on complex, cross-border transactional work, with our extensive knowledge of local regulations and multijurisdictional capabilities. Alongside providing corporate and commercial advice, we regularly assist both UK and international clients in dealing effectively with regulatory and compliance issues.

  • Our mergers and acquisitions team provide legal advice on all aspects of M&A transactions for public and private corporate clients, institutional investors and private individuals.

    We are accustomed to dealing with complicated cross-border transactions and we routinely work on matters with a global dimension. We work closely with our clients to guide them through complex transactions in jurisdictions across the globe.

  • Our team is experienced in setting up offshore corporate structures and trusts and has expertise in considering the specific objectives of the structure – including the jurisdiction’s legal and regulatory framework, tax implications in both the home country and the offshore jurisdiction, and compliance with anti-money laundering regulations. 

  • We advise on the creation, operation and termination of joint venture agreements and strategic alliances, and assist you at every stage – from the inception of the joint venture through to business planning, evaluation and implementation.

  • We regularly advise on a broad range of commercial transactions, from day-to-day commercial contracts to more complex arrangements. Our experience covers contracts for the supply of goods and services, ownership and licensing of intellectual property rights, data protection, regulation and compliance, terms of business, consultancy agreements, agency and distribution arrangements, sponsorship and franchising.

  • Advised an East African Government as to the funding and procurement of water projects (wells and de-salination) including liaising with the British Government and preparing proposals for a free zone (to operate similarly to the Dubai International Financial Centre).

    Advised on a concession agreement for an East African Government between a major global shipping entity in respect of its operations in a major East African port.

    Advised as to the formation, governance and regulation an offshore entity, incorporated in the Isle of Man, which owns the intellectual property rights in a gambling platform which offers white label partners a full package service for the back-office management of online gaming and betting services internationally.

  • Advised a client as to an appropriate corporate structure and the establishment of various special purpose vehicles appropriate for a property development company, including financing by way of debt and equity funding instruments.

    Advised a renewable energy blockchain investment platform since its formation on all corporate, commercial and regulatory matters and matters of matters of compliance, intellectual property and fundraising on the decentralized finance market/Binance’s decentralized exchange.

    Advised a blockchain smartphone company as to its formation, governance and offshore structuring, as well as to the regulatory position of their coin (as a cryptoasset) for FCA purposes and assisting them in raising capital (debt and equity) privately and on the capital markets in the lead up to (and following) it’s successful launch.

  • Advised a crypto currency and blockchain technology company on the sale of its UK subsidiary and on a wide array of corporate, commercial, intellectual property, regulatory and finance matters including the successful completion of its reverse merger which led to it being listed on the New York Stock Exchange.

    Advised a company which owns and operates a blockchain music platform (which facilitates the of the ownership of music by the artists) from its inception on all corporate and commercial matters, as well as matters of regulation, compliance and intellectual property including: structuring the company and establishing the shareholder structure and appointing the managing director; drafting directors’ contracts, the consultancy agreement, and the developer appointments; and on complex matters of intellectual property ownership.

    Advised a UK based payment facilitation company in respect of various regulatory, corporate, commercial, and intellectual property related issues.

  • Advised a consultancy company (which provides financial companies with cyber, risk, fraud prevention and GDPR advice) with legal advice to assist it with the advice it provides to the ultimate client in respect of processing payments, merchant banking, compliance and data protection.

    Advised a private client based in the Philippines as to the establishment of an entity in Curacao and the establishment of a subsidiary in Cyprus (then for EU banking purposes) to facilitate cryptocurrency transactions in the gaming sector.

    Advised a company incorporated in Curaçao in respect of its development of a platform to facilitate gaming and betting transactions utilising blockchain technology and payments via cryptocurrency as to the commercial, intellectual property and regulatory implications - including obtaining and maintaining its gaming licence in Curaçao.

  • Advised a Cypriot company on a wide range of contractual and regulatory matters relating to the launch of its platform which facilitates the timely exchange of cryptocurrency into fiat currency (and vice versa) in the gambling sphere.

    Advised a blockchain investment bank, on corporate, commercial, intellectual property and regulatory matters both domestically and internationally, including in respect of a share purchase.

    Advised a UK based cryptocurrency and blockchain company in respect of various regulatory, corporate, commercial, and intellectual property related matters, including providing support in respect of its business plan and white paper, its ICO terms and conditions and its cryptocurrency exchange terms and conditions.

  • Advised a company which provides odds data for sports betting in respect of establishing an offshore entity and bank account in Cyprus or the purposes of facilitating crypto currency and fiat transactions in a wide array of jurisdictions in the gambling industry.

    Assisted a company which develops technology for analysing oil and gas in the transfer of assets from the UAE and Singapore to the UK, and advised in respect of a reverse takeover of a UK listed company to achieve listing as a PLC.

    Advised a Spanish intermediary company on its purchase of iron ore from a Saudi Arabian company and sale to a company in the UK.

    Advised on the formation of a company and preparing contracts for all aspects of the import and sale of gold ore from various African counties to the UK and UAE.

  • Acted for a pan-African investment group (with operations in banking, real estate, infrastructure and technology) in connection with the launch of a technology project intended to revolutionise personal banking and insurance across Africa and advised on share subscription and equity agreements for the investment of tens-of-millions of dollars.

    Advised and acted for the owners of a UK based bookmaker in respect of the sale of their shares to another bookmaker, including providing advice in respect of various regulatory matters concerning the licences it holds with the Gambling Commission.

    Advised a leading i-gaming software solution provider in respect of a new joint venture arrangement with a gambling giant as to the interplay between its contractual obligations and how they align with its regulatory obligations with the Gambling Commission.
